Terms of Sale

1. General Provisions

These Terms and Conditions of Sale ("Terms") govern all sales of industrial mineral powders, including Calcite, Dolomite, Talc, China Clay, and all other products ("Products") by Ridhi Sidhi Microns ("Seller," "we," "us") to any business entity, person, or organization ("Buyer," "you"). By placing a purchase order, accepting a proforma invoice, or using this website to source materials, the Buyer agrees to these Terms in their entirety.

2. Quotes, Orders, and Pricing

• Quotations: All quotes provided by Ridhi Sidhi Microns are valid for a period of 15 days from the date of issuance unless otherwise specified in writing. Prices are subject to change based on raw material availability, electricity tariffs, and logistics costs.
• Acceptance: An order is only considered accepted when the Seller issues a formal order confirmation or proforma invoice. We reserve the right to decline any order.
• Taxes & Duties: Unless explicitly stated, prices are Ex-Works (EXW - our manufacturing facility in Alwar, Rajasthan) and do not include applicable taxes (e.g., GST), freight, insurance, or handling charges, which shall be borne entirely by the Buyer.

3. Payment Terms

• Standard payment terms require 100% advance payment prior to dispatch unless prior credit terms have been formally established and approved by the Seller in writing.
• For approved credit accounts, payments must be made strictly within the agreed timeline. Late payments may incur interest charges at the rate of 1.5% per month (or the maximum allowed by law) on the outstanding balance.

4. Cancellations and Modifications

Orders accepted by Ridhi Sidhi Microns cannot be canceled or modified by the Buyer without our written consent. If a cancellation is approved, the Buyer may be liable for cancellation charges, including but not limited to the cost of customized production, packaging already procured, or logistics cancellation fees.

5. Delivery and Risk of Loss

• Dispatch: Delivery and dispatch timelines provided are estimates. Ridhi Sidhi Microns is not liable for delays caused by transportation issues, toll delays, or unforeseen production disruptions.
• Risk Transfer: For Ex-Works (EXW) sales, the risk of loss or damage transfers to the Buyer once the Products are loaded onto the transport vehicle at our facility. If the Seller arranges freight on behalf of the Buyer, risk transfers upon delivery to the Buyer's designated destination or first carrier.

6. Quality, Inspection, and Acceptance

• Specifications: Products will conform to the technical specifications outlined in our standard Technical Data Sheets (TDS) or mutually agreed customized specifications.
• Inspection: The Buyer must inspect the Products immediately upon receipt. Any claims regarding quantity discrepancies, transit damage, or visible defects must be reported in writing within 48 hours of delivery, accompanied by photographic evidence and the lorry receipt (LR).
• Quality Claims: Claims relating to chemical composition, whiteness, or particle size distribution must be made within 15 days of receipt. The Seller reserves the right to test retained samples from the respective batch. Our liability is strictly limited to the replacement of non-conforming goods or a refund of the purchase price, at our sole discretion.

7. Warranties and Disclaimers

Ridhi Sidhi Microns warrants only that the Products will meet the stated technical specifications at the time of dispatch. WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. The Buyer is solely responsible for determining the suitability of the Products for their specific formulations, applications, and manufacturing processes.

8. Limitation of Liability

Under no circumstances shall Ridhi Sidhi Microns be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of production, plant downtime, or formulation failures arising from the use or inability to use our Products. The Buyer assumes all risk and liability for the results obtained by using the Products in combination with other substances.

9. Indemnification

The Buyer agrees to indemnify, defend, and hold harmless Ridhi Sidhi Microns and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising from the Buyer’s misuse of the Products, failure to comply with safety and handling regulations, or infringement of third-party intellectual property in the Buyer's final formulated products.

10. Website Intellectual Property

All content on this website (https://ridhisidhimicrons.in), including but not limited to text, graphics, logos, images, Technical Data Sheets (TDS), and process flowcharts, is the exclusive property of Ridhi Sidhi Microns and is protected by copyright and intellectual property laws. Unauthorized reproduction, distribution, or scraping of this content is strictly prohibited.

11. Force Majeure

Ridhi Sidhi Microns shall not be held liable for failure to perform any obligation under these Terms if such failure is caused by events beyond our reasonable control, including acts of God, natural disasters, strikes, labor disputes, raw material shortages, governmental actions, pandemics, or transportation disruptions.

12. Governing Law and Arbitration

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or any sales transaction shall be resolved through binding arbitration in Alwar, Rajasthan, under the Arbitration and Conciliation Act, 1996. Subject to arbitration, the competent courts in Alwar, Rajasthan, shall have exclusive jurisdiction.
